# PrideForge™ Commercial License Terms **Version 1.0** **Effective Date:** July 12, 2026 These Commercial License Terms ("Commercial Terms") supplement and are incorporated into the applicable **PrideForge™ End User License Agreement ("EULA")** accepted by Licensee in connection with obtaining the Software. Unless otherwise defined in these Commercial Terms, capitalized terms have the meanings assigned to them in the applicable EULA. These Commercial Terms govern the commercial licensing, subscriptions, seat entitlements, support, Academy access, updates, pricing, renewals, refunds, and purchasing of PrideForge products. --- # 1. Definitions ## 1.1 EULA **"EULA"** means the applicable PrideForge™ End User License Agreement in [EULA.md](EULA.md) accepted by Licensee when obtaining the Software, including any later version expressly accepted by Licensee. --- ## 1.2 Order **"Order"** means the commercial transaction through which Licensee purchases Products from Leonyx LLC or an authorized reseller. An Order may consist of one or more of the following: * Stripe checkout confirmation * invoice * accepted quotation * order confirmation email * purchase order accepted by Leonyx LLC * another written purchasing document issued or accepted by Leonyx LLC The applicable Order identifies the Products purchased, quantities, subscription term, pricing, and any expressly negotiated commercial terms applicable to that purchase. --- ## 1.3 Products **"Products"** means the commercial offerings licensed by Leonyx LLC. Products may include: * Core Engineer seats * Academy seats * Add-ons * future commercial offerings Only Products identified on the applicable Order are licensed. --- ## 1.4 Subscription A **Subscription** is the period during which Licensee is entitled to receive the commercial benefits associated with purchased Products. Commercial benefits may include repository access, Academy access, updates, documentation, support, and other benefits identified for the applicable Products. Expiration of a Subscription does not terminate the EULA unless otherwise provided therein. --- ## 1.5 Seat A **Seat** is an individual user entitlement assigned to one Authorized User. Unless expressly stated otherwise, each licensed Seat may be assigned to only one individual at any given time. --- # 2. Commercial Products PrideForge is licensed through one or more Products purchased by Licensee. Products are licensed individually. Purchasing one Product does not grant rights to any other Product unless expressly stated on the applicable Order. Future Products may be offered by Leonyx LLC under separate pricing and licensing terms. --- # 3. Subscription Term Unless otherwise stated on the applicable Order: * subscriptions begin on the purchase date; * subscriptions continue for twelve (12) months; * renewals begin immediately following expiration of the previous subscription; * subscriptions do not automatically renew unless expressly purchased. Subscription periods are determined separately for each applicable Order. --- # 4. License Types ## 4.1 Core Engineer Seat A Core Engineer Seat is intended for users who install, configure, customize, extend, maintain, or otherwise work directly with the PrideForge framework. Unless otherwise stated on the applicable Order, a Core Engineer Seat includes: * PrideForge Manager access and licensed package delivery; * PrideForge source code; * documentation; * Academy access; * updates released during an active Subscription; * technical support during an active Subscription. Core Engineer Seats are intended for framework engineers, automation engineers, senior SDETs, or other users responsible for maintaining an organization's PrideForge implementation. --- ## 4.2 Academy Seat An Academy Seat is intended for users learning, authoring, or maintaining automated tests using their organization's PrideForge implementation. Unless otherwise stated on the applicable Order, an Academy Seat includes: * Academy access; * training materials; * documentation. An Academy Seat does **not** include: * PrideForge source delivery via PrideForge Manager; * PrideForge source code; * Software updates; * technical support unless expressly included with the purchased Product. --- ## 4.3 Add-ons Add-ons are separately licensed commercial Products. Only Add-ons identified on the applicable Order are licensed. Future Add-ons require a separate purchase unless expressly included with another Product. --- ## 4.4 License Manager A License Manager is the individual designated by Licensee to administer subscriptions, purchases, renewals, and seat assignments. Unless otherwise specified on the applicable Order, administrative responsibilities alone do not require a licensed Seat. Repository access, Academy access, or use of licensed Products may require the License Manager to hold an appropriate Seat. --- # 5. Seat Assignment Each licensed Seat shall be assigned to one Authorized User at any given time. Licensee may reassign Seats when personnel change in the ordinary course of business, provided: * the previous individual no longer uses the licensed Product; * the reassigned user qualifies as an Authorized User under the EULA. Multiple individuals may not simultaneously share a single assigned Seat. Frequent reassignment intended to allow seat-sharing is prohibited. Licensee is responsible for maintaining accurate seat assignments. --- # 6. Consultants and Contractors Consultants and contractors may use PrideForge on behalf of Licensee provided that: * Licensee has purchased the required Seats; * each consultant occupies an assigned licensed Seat appropriate for the Product being used; * the consultant qualifies as an Authorized User under the EULA; * the consultant complies with the EULA and these Commercial Terms. Consultants do not require separate licensing from Leonyx LLC when working exclusively on behalf of a properly licensed organization. --- # 7. Subscription Benefits During an active Subscription, Licensee is entitled to receive the benefits associated with each purchased Product. Depending upon the licensed Products, benefits may include: * PrideForge Manager access and licensed package delivery; * Academy access; * documentation; * Software updates; * purchased Add-ons; * technical support. Benefits vary by Product and by the applicable Order. --- # 8. Expiration of Subscription Upon expiration of a Subscription: * PrideForge Manager package delivery and update entitlement ends; * Academy access ends; * entitlement to future updates ends; * technical support ends; * access to future Add-ons included through Subscription ends. Unless the EULA has been terminated for breach, Licensee may continue using, modifying, and executing versions of the Software lawfully obtained during an active Subscription. Expiration of a Subscription does not revoke the license granted under the applicable EULA. --- # 9. Updates During an active Subscription, Licensee is entitled to receive any updates, maintenance releases, bug fixes, enhancements, or new versions of the licensed Products that Leonyx LLC generally makes available to customers holding the same Products. Updates are provided only while the applicable Subscription remains active. Leonyx LLC is not obligated to create, publish, or release updates according to any schedule or frequency. If no updates are released during a Subscription period, Licensee is not entitled to a subscription extension, refund, credit, or other compensation. --- # 10. Technical Support Unless otherwise stated on the applicable Order, technical support is available only during an active Subscription. Support may include assistance with: * installation; * licensing; * framework behavior; * product defects; * documentation clarification; * general product guidance. Support does not include: * writing customer-specific automated tests; * consulting services; * custom framework development; * application debugging; * third-party product support; * custom integrations unless separately purchased. Support is provided on a best-effort basis. Unless expressly stated otherwise, Leonyx LLC does not provide a service level agreement (SLA), guaranteed response times, or guaranteed resolution times. --- # 11. Pricing Pricing is determined by the applicable Order. Published pricing may change at any time for future purchases. Price changes do not affect: * completed purchases; * active Subscriptions; * previously assigned seat pricing. Taxes, duties, and governmental fees are the responsibility of Licensee unless otherwise required by applicable law. --- # 12. Volume Pricing Certain Products may be eligible for volume pricing. Where applicable: * pricing is determined when each Seat is purchased; * previously purchased Seats retain their original purchase price; * additional Seats purchased later receive the pricing applicable at the time of purchase; * purchasing additional Seats does not retroactively reprice previously purchased Seats. Leonyx LLC may modify future pricing tiers for future purchases without affecting existing licensed Seats. --- # 13. Renewals Subscriptions may be renewed by purchasing an additional Subscription term. Unless otherwise stated on the applicable Order: * renewals continue commercial benefits for the licensed Products; * renewals preserve the pricing previously associated with each licensed Seat unless otherwise agreed in writing; * additional Seats purchased during an active Subscription may be prorated to align with Licensee's next renewal date. Failure to renew does not terminate the EULA but ends the commercial benefits described in these Commercial Terms. --- # 14. Refund Policy Due to the immediate delivery of proprietary source code, documentation, digital training materials, and other licensed Products, purchases are generally non-refundable once any of the following has occurred: * repository access has been granted; * the Software has been downloaded; * Academy access has been provided. If a billing error, duplicate charge, or other payment processing error occurs, Licensee should promptly contact Leonyx LLC so the issue may be investigated and corrected. Nothing in this policy limits any rights that cannot legally be waived under applicable law. --- # 15. Changes to Commercial Terms Leonyx LLC may revise these Commercial Terms for future purchases. Existing purchases remain governed by the Commercial Terms accepted at the time of purchase unless Licensee expressly agrees to updated Commercial Terms. Changes to these Commercial Terms do not modify previously accepted Orders unless agreed to by both parties. --- # 16. Order of Precedence If a conflict exists between the applicable EULA and these Commercial Terms regarding: * ownership; * intellectual property; * license rights; * confidentiality; * restrictions; * warranties; * limitation of liability; * governing law; or * other legal rights relating to the Software, the **EULA controls**. If a conflict exists regarding: * Products; * subscriptions; * seat entitlements; * pricing; * renewals; * support; * Academy access; * update eligibility; * refunds; or * other commercial matters, these **Commercial Terms control**. If a conflict exists between an Order and these Commercial Terms, the **Order controls solely with respect to**: * Products purchased; * quantities; * pricing; * subscription term; * and any other commercial terms expressly negotiated in the Order. Nothing in an Order modifies the applicable EULA unless Leonyx LLC expressly agrees in writing. --- # 17. Add-ons are subject to the same use, modification, and redistribution rules as the Core Software under the EULA.
